Terms of Service

1. Agreement to terms

By creating an account or using Quotely (quotely.ie), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.

These terms are governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ireland.

2. Description of service

Quotely is a web-based platform that helps contractors and service businesses create, send, and follow up on quotes and invoices. We provide tools for quote management, automated follow-up emails, invoice generation, and pipeline tracking.

3. Accounts and eligibility

• You must be at least 18 years old and have the legal capacity to enter into contracts.
• You must provide accurate and complete information when creating your account.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at hello@quotely.ie if you believe your account has been compromised.
• Each account is for a single business. Multiple businesses require separate accounts.

4. Acceptable use

You agree not to use Quotely to:

• Send unsolicited commercial email (spam) to people who have not given consent.
• Transmit content that is unlawful, fraudulent, threatening, abusive, or defamatory.
• Attempt to gain unauthorised access to any part of the service.
• Interfere with or disrupt the integrity or performance of the service.
• Reverse engineer, decompile, or attempt to extract source code.
• Resell or white-label the service without a separate written agreement.

5. Payments and subscriptions

• Paid plans are billed monthly or annually in advance via Stripe.
• All prices are in Euro (EUR) and are exclusive of VAT where applicable.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — no refunds are issued for partial periods.
• Free plan accounts are not charged and may be subject to usage limits.
• We reserve the right to change pricing with 30 days' notice. Existing subscribers will not be affected until their next renewal.

6. Your data

You own the data you enter into Quotely (your quotes, invoices, and customer records). We process your data only as necessary to provide the service, as described in our Privacy Policy.

You are responsible for ensuring you have a lawful basis to provide your customers' personal data (names and email addresses) to Quotely for processing. By using the service, you confirm that you have obtained any consents or have a legitimate interest basis for sending quotes and follow-ups to your customers.

On account deletion, all your data is permanently and irreversibly deleted. We cannot recover data after deletion.

7. Service availability

We aim to provide a highly available service but do not guarantee 100% uptime. We may perform scheduled or emergency maintenance that causes temporary interruptions. We will endeavour to notify users of planned maintenance in advance.

The service is provided “as is” without warranty of any kind. We do not warrant that the service will be error-free or uninterrupted.

8. Limitation of liability

To the fullest extent permitted by applicable law, Quotely shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service, including lost profits, lost data, or business interruption.

Our total aggregate liability to you for any claims arising out of or related to these terms or the service shall not exceed the total fees paid by you to Quotely in the 12 months preceding the event giving rise to the claim.

9. Termination

Either party may terminate at any time. You may close your account via Settings → Danger Zone. We may suspend or terminate your account if you breach these terms, with or without notice depending on the severity of the breach.

On termination, your right to use the service ceases immediately and your data will be deleted in accordance with our data retention policy.

10. Changes to these terms

We may update these terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the service after changes take effect constitutes your acceptance of the revised terms.
